GENERAL INFORMATION<\/h2>\n<p>Company: MB \u201cSolea Pharma\u201d<br>Address: Visori\u0173 g. 18-32, LT-10210 Vilnius, Lithuania, EU<br>Email: <a href=\"mailto:hello@fillacell.com\">hello@fillacell.com<\/a><br>Website: <a href=\"https:\/\/fillacell.com\/en\/\">www.fillacell.com<\/a><\/p>\n<p>In this Policy MB \u201cSolea Pharma\u201d may also be referred to as the \u201cCompany\u201d, \u201cwe\u201d or \u201cour\u201d.<\/p>\n\n<h2 class=\"fc-legal__h2\">2. ORDER PROCESSING<\/h2>\n<p>Orders are processed once payment has been successfully confirmed. Orders are usually prepared for dispatch within 1\u20133 working days, unless stated otherwise on the Website or at the time of ordering.<\/p>\n<p>During promotions, sales, holiday periods or times of increased order volume, order processing may take longer.<\/p>\n<p>MB \u201cSolea Pharma\u201d has the right to suspend the fulfilment of an order temporarily, to ask for additional confirmation of information, or to cancel an order if there are reasonable grounds to suspect fraud, incorrectly submitted data or a payment security issue.<\/p>\n\n<h2 class=\"fc-legal__h2\">3. DELIVERY METHODS<\/h2>\n<p>Depending on the country and the order value, different delivery methods may be offered, including courier services, parcel lockers, registered post or international delivery. The available delivery methods and their prices are shown when the order is placed.<\/p>\n\n<h2 class=\"fc-legal__h2\">4. DELIVERY TIMES<\/h2>\n<p>Delivery times are approximate and are given for information only. Estimated delivery times may vary depending on the destination country, courier workload, customs procedures, holiday periods, weather conditions, logistics disruptions or other circumstances beyond the Company\u2019s control.<\/p>\n<p>MB \u201cSolea Pharma\u201d does not guarantee exact delivery times and is not liable for delays caused by the actions of third parties or by force majeure.<\/p>\n\n<h2 class=\"fc-legal__h2\">5. DELIVERY PRICES<\/h2>\n<p>Delivery prices are calculated and shown before the order is confirmed and paid for. In certain cases free delivery, special offers or minimum order value conditions may apply. MB \u201cSolea Pharma\u201d has the right to change delivery prices or conditions at any time.<\/p>\n\n<h2 class=\"fc-legal__h2\">6. INTERNATIONAL DELIVERY<\/h2>\n<p>Goods may be delivered to selected European Union and other countries. The Buyer is responsible for providing the correct delivery address, complying with local import rules and paying any customs duties, import taxes or other additional local costs.<\/p>\n<p>MB \u201cSolea Pharma\u201d is not liable for customs detentions, import restrictions, additional charges or delivery delays arising from customs procedures or local regulatory requirements.<\/p>\n\n<h2 class=\"fc-legal__h2\">7. INCORRECT ADDRESS<\/h2>\n<p>The Buyer is responsible for providing accurate and complete delivery details. If an order cannot be delivered because of an incorrectly provided address, an uncollected parcel or other circumstances attributable to the Buyer, additional shipping costs may apply for re-delivery.<\/p>\n<p>MB \u201cSolea Pharma\u201d is not liable for losses or delays arising from incorrectly provided information.<\/p>\n\n<h2 class=\"fc-legal__h2\">8. DAMAGED PARCELS<\/h2>\n<p>We recommend checking the condition of the parcel as soon as you receive it. If the parcel is damaged or has been opened, or if items are missing, we recommend that you:<\/p>\n<ul>\n<li>immediately record the damage with photographs and\/or video;<\/li>\n<li>inform us by email at <a href=\"mailto:hello@fillacell.com\">hello@fillacell.com<\/a> as soon as possible, and no later than 3 working days after receipt, attaching the documentation of the damage.<\/li>\n<\/ul>\n<p>MB \u201cSolea Pharma\u201d has the right to ask for additional information or evidence in order to assess the situation before deciding on compensation or a replacement.<\/p>\n\n<h2 class=\"fc-legal__h2\">9. THE CONSUMER\u2019S RIGHT OF WITHDRAWAL<\/h2>\n<p>A consumer (a natural person buying for non-business purposes) has the right to withdraw from a distance sales contract within 14 (fourteen) calendar days from the day the goods are received, without giving a reason, under the Civil Code of the Republic of Lithuania (Article 6.228<sup>10<\/sup>) and the EU Consumer Rights Directive (2011\/83\/EU).<\/p>\n<p>To exercise this right, the consumer must inform MB \u201cSolea Pharma\u201d by email at <a href=\"mailto:hello@fillacell.com\">hello@fillacell.com<\/a> with a clear statement of withdrawal before the 14-day period ends.<\/p>\n\n<h2 class=\"fc-legal__h2\">10. RETURN RESTRICTIONS \u2013 FOOD SUPPLEMENTS<\/h2>\n<p>Under the Civil Code of the Republic of Lithuania (Article 6.228<sup>11<\/sup>(2)) and the EU Consumer Rights Directive (2011\/83\/EU, Article 16(e)), for reasons of health protection, hygiene and safety, food supplements and other related goods cannot be returned if:<\/p>\n<ul>\n<li>the product has been opened (the protective seal is broken or the protective film removed);<\/li>\n<li>the hygienic or protective packaging has been damaged;<\/li>\n<li>the product has been used;<\/li>\n<li>the product is no longer fit for safe resale.<\/li>\n<\/ul>\n<p>Food supplements may be returned only if:<\/p>\n<ul>\n<li>the product has not been opened or used;<\/li>\n<li>the original packaging is undamaged and all protective seals are intact;<\/li>\n<li>the product has retained its saleable appearance and is fit for resale.<\/li>\n<\/ul>\n<p>The restrictions above do not apply if the product is defective, was damaged in transit, was delivered in error or has a manufacturing defect.<\/p>\n\n<h2 class=\"fc-legal__h2\">11. RETURNS PROCEDURE<\/h2>\n<p>Before returning a product the Buyer must:<\/p>\n<ul>\n<li>contact MB \u201cSolea Pharma\u201d by email at <a href=\"mailto:hello@fillacell.com\">hello@fillacell.com<\/a> and provide information about the return;<\/li>\n<li>wait for confirmation and return instructions from MB \u201cSolea Pharma\u201d.<\/li>\n<\/ul>\n<p>The consumer must send or hand over the returned product no later than 14 (fourteen) calendar days from the day the notice of withdrawal was given.<\/p>\n<p>The returned product must be properly packed and protected against damage in transit.<\/p>\n<p>The Buyer is liable for any diminished value of the product if it has been used or handled other than as necessary to establish its nature, characteristics and functioning.<\/p>\n\n<h2 class=\"fc-legal__h2\">12. RETURN SHIPPING COSTS<\/h2>\n<p>If a product is returned under the 14-day right of withdrawal (and not because of a quality defect or fault of the Company), the return shipping costs are borne by the Buyer, unless expressly agreed otherwise.<\/p>\n<p>If a product is returned because it is defective, has a manufacturing defect, was damaged in transit or was delivered in error, the return costs are covered by MB \u201cSolea Pharma\u201d in a manner agreed in advance.<\/p>\n<p>The Seller also does not refund the original delivery costs, except where this is required by applicable law.<\/p>\n\n<h2 class=\"fc-legal__h2\">13. REFUNDS<\/h2>\n<p>MB \u201cSolea Pharma\u201d refunds the amount paid by the Buyer no later than 14 (fourteen) calendar days from:<\/p>\n<ul>\n<li>the day the returned product is received and its condition checked; or<\/li>\n<li>the day proof of dispatch provided by the Buyer is received,<\/li>\n<\/ul>\n<p>whichever date is earlier, unless the law provides otherwise.<\/p>\n<p>MB \u201cSolea Pharma\u201d has the right to withhold the refund until the condition of the returned product and its compliance with the return conditions have been assessed.<\/p>\n<p>Refunds are made using the same payment method as the original payment, unless the parties agree otherwise.<\/p>\n<p>If only part of an order is returned, only the corresponding part of the order amount is refunded.<\/p>\n\n<h2 class=\"fc-legal__h2\">14. SUBSCRIPTION TERMS<\/h2>\n<p>A recurring subscription model may apply to certain products on the Website. By choosing a subscription the Buyer agrees that:<\/p>\n<ul>\n<li>the products will be sent at the chosen interval;<\/li>\n<li>payments will be charged automatically using the chosen payment method;<\/li>\n<li>the subscription will remain in force until it is cancelled in the manner set out in this Policy.<\/li>\n<\/ul>\n<p>The Buyer is responsible for providing correct payment and contact information and for keeping it up to date.<\/p>\n\n<h2 class=\"fc-legal__h2\">15. CANCELLING A SUBSCRIPTION<\/h2>\n<p>A subscription must be cancelled no later than 96 (ninety-six) hours before the next scheduled payment or before the parcel begins to be prepared.<\/p>\n<p>If the subscription is cancelled in time, the next payment and parcel will not go ahead. If it is cancelled late and order preparation has already started, the next payment and parcel may still go ahead; the cancellation will then take effect from the following subscription cycle.<\/p>\n<p>MB \u201cSolea Pharma\u201d is not liable for additional costs or inconvenience arising from a late subscription cancellation.<\/p>\n\n<h2 class=\"fc-legal__h2\">16. RETURNING SUBSCRIPTION PARCELS<\/h2>\n<p>No refunds are given for subscription parcels that have already been prepared, processed or dispatched. If a subscription parcel is returned for reasons not attributable to MB \u201cSolea Pharma\u201d, the return shipping costs are borne by the Buyer.<\/p>\n<p>MB \u201cSolea Pharma\u201d has the right to refuse a refund for subscription parcels if:<\/p>\n<ul>\n<li>the subscription was not cancelled in time;<\/li>\n<li>the parcel had already been prepared and\/or dispatched;<\/li>\n<li>the return conditions have been breached;<\/li>\n<li>the product has been opened or used;<\/li>\n<li>the protective seals or the packaging have been damaged.<\/li>\n<\/ul>\n\n<h2 class=\"fc-legal__h2\">17. MANAGING A SUBSCRIPTION<\/h2>\n<p>The Buyer can manage a subscription by signing in to the subscription management section of the account or by contacting us at <a href=\"mailto:hello@fillacell.com\">hello@fillacell.com<\/a>.<\/p>\n<p>MB \u201cSolea Pharma\u201d has the right to change subscription conditions, prices or delivery frequency, informing the Buyer of significant changes in advance in the manner required by law.<\/p>\n\n<h2 class=\"fc-legal__h2\">18. TRANSFER OF RISK<\/h2>\n<p>The risk of damage, loss or accidental destruction of the product passes to the Buyer from the moment the parcel is physically handed over to the Buyer or to the recipient named by the Buyer (or to a third party who is not the courier and who was named by the Buyer).<\/p>\n\n<h2 class=\"fc-legal__h2\">19. THIRD-PARTY LOGISTICS SERVICES<\/h2>\n<p>Delivery services are carried out using third-party logistics partners. MB \u201cSolea Pharma\u201d takes reasonable steps to choose reliable partners but, to the extent permitted by applicable law, is not liable for the actions of couriers, logistics disruptions, delayed parcels, customs processes or other problems arising after the parcel has been handed over to the logistics partners.<\/p>\n\n<h2 class=\"fc-legal__h2\">20. FORCE MAJEURE<\/h2>\n<p>MB \u201cSolea Pharma\u201d is not liable for delays in or failure of delivery caused by circumstances the Company could not reasonably control, including cyber attacks, logistics disruptions, customs restrictions, natural disasters, acts of war, pandemics, system failures or other force majeure events.<\/p>\n\n<h2 class=\"fc-legal__h2\">21. APPLICABLE LAW AND DISPUTES<\/h2>\n<p>This Policy is governed by the law of the Republic of Lithuania. All disputes are settled first of all by negotiation.<\/p>\n<p>Consumers may also contact the State Consumer Rights Protection Authority of Lithuania (<a href=\"https:\/\/vvtat.lrv.lt\" target=\"_blank\" rel=\"noopener\">vvtat.lrv.lt<\/a>) or use the EU online dispute resolution platform (<a href=\"https:\/\/ec.europa.eu\/consumers\/odr\" target=\"_blank\" rel=\"noopener\">ec.europa.eu\/consumers\/odr<\/a>).<\/p>\n\n<h2 class=\"fc-legal__h2\">22.
