TERMS AND CONDITIONS

These Terms and Conditions (the “Terms”) govern the use of the FILLaCELL website (www.fillacell.com), the purchase of goods, the fulfilment of orders, liability, intellectual property and other legal relations between MB “Solea Pharma” and users of the Website.

By using the Website, registering, placing an order or otherwise using our services, you confirm that you are an adult, that you have the right to enter into legally binding transactions, that you have read these Terms and that you agree to comply with them.

In these Terms MB “Solea Pharma” may also be referred to as the “Company”, “we” or “our”.

2. APPLICATION AND AMENDMENT OF THE TERMS

These Terms apply to everyone who visits the Website, registers an account, buys goods, subscribes to newsletters, takes part in promotions or otherwise uses our services.

MB “Solea Pharma” has the right to update or change the Terms at any time. Users will be informed of significant changes by email or by a clearly visible notice on the Website before the changes take effect.

Continuing to use the Website after the changes have been published means that you agree to the amended Terms.

3. RIGHT TO USE THE WEBSITE

The Website may be used only by adults who have the right to enter into legally binding transactions and who provide correct information.

MB “Solea Pharma” has the right to restrict access to the Website, to suspend or delete an account, to reject an order or to refuse to provide services if it establishes or reasonably suspects a breach of these Terms, of the law or of the Company’s legitimate interests.

4. PRODUCTS AND INFORMATION

MB “Solea Pharma” seeks to ensure that the information on the Website is as accurate and up to date as possible, but does not guarantee that it is absolutely accurate, complete or current.

Product photographs are for illustration only – the actual appearance, colour or packaging of a product may differ slightly.

MB “Solea Pharma” has the right to change the product range, compositions, packaging or prices, or to discontinue particular products, at any time and without prior notice.

5. LIMITATION ON FOOD SUPPLEMENT AND WELLBEING INFORMATION

IMPORTANT: The information on the Website about food supplements, beauty, wellbeing or lifestyle products is for information and education only and is not:

medical advice;
a treatment recommendation;
a diagnosis;
a substitute for medicines or medical devices.

Food supplements are food products intended to complement a normal diet and must not be used as a substitute for a complete and balanced diet or as an alternative to medical treatment.

Under EU Regulation (EC) No 1924/2006 and Directive 2002/46/EC, MB “Solea Pharma” makes no health claims attributing to food supplements the properties of treating, preventing or diagnosing disease.

6. ADDITIONAL WARNINGS ON PRODUCT USE

The Buyer and the user are responsible for using the product in line with the recommendations, labelling and instructions provided.

Unless stated otherwise, the following general warnings apply to food supplements:

if you are pregnant, breastfeeding, planning a pregnancy, have a health condition or are taking medication, you must consult a doctor or pharmacist before use;
do not use the product if you are sensitive or allergic to any of its ingredients;
do not exceed the recommended daily dose;
food supplements should not be used as a substitute for a varied and balanced diet and a healthy lifestyle;
keep the products out of reach of children;
store them according to the manufacturer’s stated conditions.

To the extent permitted by applicable law, MB “Solea Pharma” is not liable for adverse consequences arising from improper use, failure to follow the recommendations, individual sensitivity, allergic reactions or self-directed dosing.

7. PRICES AND PAYMENTS

All prices on the Website are given in euros (EUR) unless stated otherwise. VAT is included in the price unless stated otherwise.

The final price of a product is set at the moment the order is placed. MB “Solea Pharma” has the right to change prices, promotions or offers at any time.

Payments are processed using third-party payment systems. The Company is not liable for the actions of banks, payment operators or other third parties, for delayed or rejected payments, or for technical failures in their systems.

8. ORDERS AND CONCLUSION OF THE CONTRACT

By placing an order the Buyer confirms that the information provided is correct, that they are entitled to use the chosen payment method and that they agree to these Terms.

The contract is deemed concluded at the moment the order is confirmed by email.

MB “Solea Pharma” has the right to reject, suspend or cancel an order if there are suspicions of fraud, if incorrect information has been provided, if the product is no longer available, if a technical error has occurred, or if the law or these Terms are breached.

In such a case the amount paid is refunded to the Buyer.

9. THE CONSUMER’S RIGHT OF WITHDRAWAL

A consumer (a natural person buying for non-business purposes) has the right to withdraw from a distance sales contract within 14 (fourteen) calendar days from the day the goods are received, without giving a reason, under the Civil Code of the Republic of Lithuania and the EU Consumer Rights Directive (2011/83/EU).

To exercise this right, the consumer must inform MB “Solea Pharma” by email at hello@fillacell.com with a clear statement of withdrawal before the 14-day period ends.

10. RETURNS AND RETURN RESTRICTIONS

Under the Civil Code of the Republic of Lithuania (Article 6.228¹¹(2)) and the EU Consumer Rights Directive (2011/83/EU, Article 16(e)), MB “Solea Pharma” applies the following return restrictions:

For reasons of health protection, hygiene and safety, food supplements cannot be returned if:

the product has been opened (the protective seal is broken or the protective film removed);
the hygienic or protective packaging has been damaged;
the product has been used;
the product is no longer fit for safe resale.

Food supplements may be returned only if:

the product has not been opened or used;
the original packaging is undamaged;
all protective seals are intact;
the product has retained its saleable appearance.

These restrictions do not apply if the product is defective, damaged, delivered in error or has a manufacturing defect.

The returns procedure and refund arrangements are described in more detail in the Delivery and Returns Policy.

11. DELIVERY

Delivery times are approximate and may change because of circumstances beyond the Company’s control.

MB “Solea Pharma” is not liable for the actions of couriers, customs procedures, delivery delays or other disruptions caused by third parties.

The risk of damage to or loss of a product passes to the Buyer from the moment the product is physically handed over.

12. ACCOUNTS AND SECURITY

The user is responsible for the security of their account, the confidentiality of their login details and all actions taken using their account.

MB “Solea Pharma” is not liable for unauthorised use of an account where this happened because of the user’s carelessness or failure to follow security measures.

13. INTELLECTUAL PROPERTY

All information on the Website, including texts, design, logos, graphics, product descriptions, photographs, video material, trade marks and other content, belongs to MB “Solea Pharma” or to legitimate licence holders and is protected by the intellectual property law of the Republic of Lithuania and the European Union.

Copying, distributing, modifying, publishing or otherwise using the content of the Website for commercial purposes without prior written consent is prohibited.

14. PROHIBITED ACTIONS

Users are prohibited from:

breaching the law or the rights of third parties;
attempting to break into the Website or its systems;
spreading viruses or malicious software;
using automated systems to collect data (web scraping, bots);
copying content for commercial purposes;
engaging in fraud or misleading activity;
disrupting the operation of the Website;
collecting other users’ personal data;
using the Website for unlawful purposes.

15. THE “REFER A FRIEND” PROGRAMME

A “Refer a friend” programme may be offered on the Website.

The conditions for taking part, the discounts for the friend, the reward assigned to the referring customer, how it is used and the other arrangements of the programme are set out in the separate “Refer a friend” programme rules.

When using the programme you must comply with those special rules.

16. THIRD-PARTY SERVICES

The Website may use third-party services, including WooCommerce, Elementor, Google, Meta/Facebook, payment operators, courier services, AI systems, analytics platforms, newsletter systems, hosting providers and various plugins and API integrations.

MB “Solea Pharma” takes reasonable steps to choose reliable partners but is not liable for the actions of third parties, their privacy practices, system failures, technical errors, data leaks or security breaches in their infrastructure.

17. AVAILABILITY OF SERVICES

The Website is provided on an “AS IS” and “AS AVAILABLE” basis.

MB “Solea Pharma” does not guarantee that the Website will always work without errors, disruptions or temporary unavailability. Because of maintenance, updates or the operation of third-party infrastructure, certain functions may be temporarily limited.

18. FORCE MAJEURE

MB “Solea Pharma” is not liable for failure to perform, or improper performance of, its obligations because of circumstances the Company could not reasonably control, including cyber attacks, server failures, internet or power supply disruptions, actions of state authorities, natural disasters, acts of war or other force majeure events.

19. LIMITATION OF LIABILITY

To the extent permitted by applicable law, MB “Solea Pharma” is not liable for:

indirect losses or loss of profit;
loss of data or loss of reputation;
technical disruptions or the actions of third parties;
inaccuracies of AI systems, or consequences of product use arising from improper use or failure to follow instructions.

In any event, the maximum liability of MB “Solea Pharma” is limited to the amount actually paid by the Buyer for the specific order that gave rise to the dispute.

This limitation does not apply where damage was caused intentionally or through gross negligence, nor to consumer rights under mandatory provisions of law.

20. INDEMNIFICATION

The user undertakes to compensate MB “Solea Pharma” for all reasonable losses, costs or damage arising directly from a material breach of these Terms, unlawful use of the Website or infringement of the rights of third parties.

21. PRIVACY

Personal data is processed in accordance with our Privacy Policy, which forms an integral part of these Terms.

By using the Website you confirm that you have read the Privacy Policy and agree to the conditions set out in it.

22. APPLICABLE LAW AND DISPUTES

These Terms are governed by the law of the Republic of Lithuania, unless mandatory EU consumer protection rules provide otherwise.

The Buyer has the right to submit a complaint to:

MB “Solea Pharma” by email at hello@fillacell.com;
the State Consumer Rights Protection Authority of Lithuania (vvtat.lrv.lt);
other consumer dispute resolution bodies provided for by law;
a court at the registered office of MB “Solea Pharma”.

23. FINAL PROVISIONS

If any provision of these Terms becomes invalid or unenforceable, the remaining provisions remain in full force.

Failure to exercise our rights in a particular case does not mean that we waive those rights in the future.
